These Provider Terms & Conditions ("Terms") govern your access to and use of the Solara Sciences platform. By creating an account, accessing the platform, viewing product information, placing an order, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Access to this platform is restricted to approved licensed medical professionals and authorized business entities. If you do not agree to these Terms, you may not access or use the platform.
1. Eligibility
Accounts are available only to licensed medical professionals and authorized business entities acting within the scope of applicable law.
By using this platform, you represent and warrant that:
- The information you provide is accurate, complete, and current.
- You are authorized to purchase products available through this platform.
- You will maintain the confidentiality of your account credentials.
- You are responsible for all activity occurring under your account.
Accounts are non-transferable and may not be shared with unauthorized individuals. Solara Sciences reserves the right to approve, deny, suspend, or terminate any account or order at its sole discretion.
2. Our Role
Solara Sciences operates as an independent provider sourcing and purchasing platform serving licensed medical professionals.
We provide secure, credential-verified access to products supplied and fulfilled by independent third-party manufacturers, distributors, and licensed pharmacies where applicable.
Solara Sciences does not manufacture products, compound medications, prescribe medications, dispense medications, administer products, practice medicine, practice pharmacy, or provide medical, pharmacy, legal, or regulatory advice.
All products are manufactured, compounded, packaged, labeled, tested, and fulfilled by independent third-party suppliers operating under their own applicable licenses, registrations, and regulatory authority.
3. Product Categories
Products available through the Solara Sciences platform generally fall into one of two categories.
Pharmacy-Fulfilled Products
Certain products are supplied and fulfilled by licensed pharmacies operating under applicable federal and state law, including licensed 503A compounding pharmacies and FDA-registered 503B outsourcing facilities where applicable.
These products remain subject to all applicable laws, regulations, prescribing requirements, and professional standards governing the supplying pharmacy.
Healthcare providers are solely responsible for determining patient eligibility, prescribing decisions, patient-specific information, dosing, administration, monitoring, and compliance with applicable federal, state, and local laws.
Professional Use Products
Unless expressly identified as a Pharmacy-Fulfilled Product, products available through this platform are designated by their suppliers as Professional Use Only ("PUO").
Professional Use Products are not FDA-approved drugs and are not approved by the U.S. Food and Drug Administration for the diagnosis, cure, mitigation, treatment, or prevention of disease unless expressly identified otherwise by the supplying entity under applicable law.
Professional Use Products are intended exclusively for purchase by qualified licensed medical professionals and authorized business entities.
Healthcare providers are solely responsible for determining whether the purchase, possession, storage, handling, administration, transfer, or other use of Professional Use Products complies with applicable federal, state, and local laws, regulations, licensing requirements, and professional standards.
4. Professional Responsibilities
Healthcare providers are responsible for exercising their own independent professional judgment in evaluating all products available through the platform.
Providers are solely responsible for:
- complying with all applicable federal, state, and local laws and regulations;
- complying with all applicable licensing requirements and professional standards;
- reviewing supplier labeling, documentation, warnings, and instructions;
- determining appropriate product selection;
- patient evaluation and treatment decisions where applicable;
- product storage, handling, transportation, administration, security, and disposal;
- obtaining informed consent where applicable; and
- all downstream use of products purchased through the platform.
Nothing provided by Solara Sciences constitutes medical, pharmacy, legal, or regulatory advice.
5. Orders & Verification
Solara Sciences reserves the right to verify professional credentials before approving or fulfilling any order.
We may request professional licenses, business credentials, resale certificates, tax documentation, DEA registration (where applicable), or other documentation reasonably necessary to verify eligibility or comply with applicable laws.
Certain products may be unavailable in specific jurisdictions due to supplier policies, pharmacy requirements, or state or federal regulations. Solara Sciences reserves the right to refuse, limit, delay, or cancel any order that cannot be fulfilled in compliance with applicable requirements.
6. Platform Materials & Confidentiality
All product information, pricing, supplier documentation, Certificates of Analysis, specifications, images, educational materials, downloadable content, and other information available through the Solara Sciences platform ("Platform Materials") are proprietary and confidential.
Platform Materials are provided solely for use by approved account holders in connection with their professional activities.
Except as expressly authorized in writing by Solara Sciences, Platform Materials may not be copied, reproduced, distributed, published, displayed, transmitted, disclosed, or otherwise shared with any third party.
Account credentials may not be shared or provided to unauthorized individuals.
7. Informational Content
Product descriptions, educational materials, technical information, research summaries, supplier documentation, references, and other informational content are provided solely for general informational purposes.
Such information does not constitute:
- medical advice;
- prescribing guidance;
- pharmacy advice;
- legal advice; or
- regulatory advice.
Information made available through the platform may originate from suppliers, manufacturers, published literature, or other third-party sources.
Healthcare providers are solely responsible for independently evaluating all information before relying upon it in their professional practice.
8. Compliance With Applicable Laws
Healthcare providers are responsible for ensuring that all purchases, possession, prescribing, dispensing, administration, storage, transportation, research activities, and other use of products obtained through the platform comply with all applicable federal, state, and local laws, regulations, licensing requirements, and professional standards.
Nothing contained within the Solara Sciences platform authorizes any activity prohibited by applicable law.
9. Disclaimer of Warranties
ALL PRODUCTS, PLATFORM MATERIALS, SERVICES, AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLARA SCIENCES DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CLINICAL SUITABILITY, SAFETY, EFFICACY, REGULATORY STATUS, OR AVAILABILITY.
Solara Sciences makes no representation regarding clinical outcomes, regulatory classification, legality, safety, effectiveness, or suitability of any product for any particular purpose.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLARA SCIENCES, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PLATFORM, PRODUCTS, SERVICES, OR INFORMATION PROVIDED.
IN NO EVENT SHALL SOLARA SCIENCES' TOTAL LIABILITY EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Solara Sciences, LLC and its officers, directors, members, employees, contractors, affiliates, suppliers, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, penalties, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
- your use of the platform;
- your purchase, possession, storage, transfer, administration, distribution, or use of products;
- your professional services or patient care decisions;
- violations of applicable law;
- regulatory investigations involving your activities; or
- your violation of these Terms.
12. Modifications
Solara Sciences reserves the right to modify these Terms at any time.
Updated Terms become effective immediately upon posting to the platform. Continued use of the platform after any modification constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the use of the Solara Sciences platform shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

By creating an account, accessing the Solara Sciences platform, viewing product information, placing an order, or otherwise using the platform, you acknowledge that:
- You have read and agree to these Provider Terms & Conditions.
- You are an authorized licensed medical professional or authorized business representative acting within the scope of applicable law.
- You understand that Professional Use Products are not FDA-approved drugs unless expressly identified otherwise by the supplying entity under applicable law.
- You understand that Pharmacy-Fulfilled Products and Professional Use Products are subject to different regulatory frameworks.
- You accept responsibility for complying with all applicable laws, regulations, licensing requirements, and professional standards.
- You agree to use the Solara Sciences platform in accordance with these Terms.
